Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and the operator of Workbook Editor ("we", "us", or "our") governing your access to and use of our website and online spreadsheet editor (the "Service"). By using the Service, you agree to these Terms. If you do not agree, please do not use the Service.

1. The Service

The Service allows you to open, create, edit, convert, and export spreadsheet files (xlsx, xls, csv, tsv) directly in your web browser. File processing occurs locally on your device; your files are not uploaded to our servers. The Service is offered in a free tier and a paid "Pro" tier.

2. Accounts and Sign-In

• You sign in using your email address and a one-time verification code. We do not require or store a password.
• You are responsible for all activity occurring under your email address and for keeping access to your email account secure.
• You agree to provide accurate information and to notify us promptly of any unauthorized use.

3. Pro Subscription and Billing

• Pro is a subscription currently priced at $2.99 USD per month or $19.99 USD per year. Prices may change for future billing periods; we will give advance notice of any price change.
• Payments are processed securely by PayPal. Depending on your location, applicable taxes may be added at checkout.
• Auto-renewal: unless you cancel, your subscription renews automatically at the end of each billing period using the payment method on file, and you authorize us (through PayPal) to charge the then-current fee.
• Pro features are activated immediately after successful payment.

4. Cancellation

• You may cancel your subscription at any time from your PayPal account settings (Payments → Manage automatic payments) or by contacting support@workbookeditor.com.
• Cancellation stops future renewals. Your Pro access remains active until the end of the current paid period, after which it reverts to the free tier.
• We do not charge cancellation fees.

5. Refund Policy

• 14-day money-back guarantee: first-time Pro subscribers may request a full refund within 14 days of the initial purchase for any reason.
• Renewal charges are eligible for a refund only if requested within 7 days of the renewal and Pro features were not used during that period; otherwise renewal refunds are assessed case by case.
• To request a refund, email support@workbookeditor.com from the email address associated with the subscription. Approved refunds are credited to the original PayPal payment method.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law;
• Attempt to disrupt, overload, reverse engineer, or gain unauthorized access to the Service or its infrastructure;
• Circumvent subscription, usage limits, or security measures;
• Misrepresent your identity or subscription status.

7. Intellectual Property

The Service, including its design, text, and software (which incorporates open-source components such as the Univer engine under their respective licenses), is owned by us or our licensors and is protected by intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable right to use the Service. You retain all rights to the files and data you create.

8. Privacy

Our handling of personal information is described in our Privacy Policy, which forms part of these Terms.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose, merchantability, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that every file will convert with complete fidelity. You are responsible for verifying important results and keeping backups of your files.

10. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or business, arising out of or related to your use of the Service. Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim, or $50 USD if you have not paid anything.

11. Changes to the Service and Terms

We may modify, suspend, or discontinue any part of the Service at any time. We may update these Terms; continued use after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction in which the operator of the Service is resident, without regard to conflict-of-law principles. You agree to first try to resolve any dispute with us in good faith by contacting support; if unresolved, disputes will be resolved in the courts of that jurisdiction, unless mandatory local consumer law gives you the right to bring proceedings elsewhere.
